Description

Post-confirmation liquidation and litigation trusts have become common fixtures in business bankruptcies. The trusts are established for the broad purpose of implementing the terms of a plan—disposing of assets, prosecuting estate claims, resolving claims, and making distributions to beneficiaries.

The trust agreement must clearly delineate the purpose of the trust and the authority—and limitations—of the trustee as well as the entity’s governance, operation and accountability.

Case law is emerging addressing the existence of post-confirmation trusts and their ability to pursue claims on behalf of the debtor’s creditors. Practitioners representing post-confirmation trusts must keep abreast of the latest case law developments.
