This CLE course will provide energy attorneys guidance on crucial issues for drafting, reviewing, and negotiating oil and gas transportation and processing agreements. Agreements for oil and gas transportation and processing entail various business and legal issues and implications requiring negotiation to maximize value and minimize risks. Counsel must understand the legal framework impacting oil and gas transporting and processing agreements, display knowledge of important industry business and technical considerations, identify key provisions and challenges, and ensure that the terms and conditions align with client goals and needs.

Oil and gas transporters and processors may have agreement preferences where specific circumstances dictate terms and conditions, such as (1) the nature of the oil/gas supply obligation (e.g., dedication vs. minimum volume commitment) (2) location, (3) points of receipt and delivery, (4) available transportation infrastructure and required build out, and (5) quality specifications and other vital items. In addition, counsel must properly structure the contract terms to account for covenants running with the land, and limit exposure and liability stemming from, control and possession, curtailment, and releases.
