This CLE course will provide corporate and international law counsel with an examination and review of the new DOJ and SEC guidance for FCPA compliance and outline strategies for adjusting compliance policies and procedures.


The much anticipated new guidelines for FCPA compliance were jointly released by the U.S. Department of Justice and the Securities and Exchange Commission on Nov. 14, 2012, providing clarity to the agencies' approach to FCPA enforcement and policies.

The guidance also codifies some policies and approaches that were previously unwritten. The guidance is the SEC's and Justice Department’s response to recommendations by the OECD for increased transparency and consolidation of information about FCPA enforcement.

While the guidance is not binding, the agencies have committed to adhering to the new guide. Counsel to companies doing business abroad must understand the DOJ and SEC expectations for FCPA compliance.
