Course Materials

This CLE course will provide guidance to business and technology counsel for negotiating technology multi-sourcing arrangements on behalf of customers and vendors. The panel will examine how customers can leverage multi-sourcing contracts to obtain better service from suppliers, distribute and minimize risk, and manage costs while avoiding common contracting pitfalls.

Technology multi-sourcing arrangements have gained in popularity in recent years, largely because they allow companies to secure specific capabilities and expertise for each of their technology needs from multiple suppliers, obtain competitive pricing and improved vendor service levels, and control costs.

Counsel negotiating technology multi-sourcing arrangements on behalf of customers and vendors must anticipate and address the challenges associated with the agreements, including the difficulty of overseeing and coordinating multiple vendor contracts, and the risk that one vendor will disclaim accountability for portions of athe multi-sourcing agreement that the customer understood to be that vendor's responsibility.

Counsel for customers can minimize the risks inherent in technology multi-sourcing arrangements by negotiating clear and specific multi-sourcing provisions, implementing effective management controls over the contracts and establishing a governance structure that promotes cooperation and collaboration between vendors.

Listen as our authoritative panel discusses best practices for structuring and documenting technology multi-sourcing agreements on behalf of customers and vendors.

  1. Multi-sourcing trends
  2. Benefits and risks of multi-sourcing
  3. Considerations for counsel negotiating multi-sourcing agreements
    1. For customers
    2. For vendors

The panel will review these and other key issues:

  • What are the benefits and challenges of technology multi-sourcing agreements?
  • How can counsel help customers and vendors minimize risks and limit disputes with multi-sourcing agreements?
  • How has the rise in cloud computing impacted technology multi-sourcing agreements?
